Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the PNU Consulting website (the “Site”), the password-protected investor portal (the “Portal”), and any information, materials, or services provided through them. By accessing or using the Site or the Portal, or by signing in with credentials we have issued to you, you agree to be bound by these Terms. If you do not agree, please do not use the Site or the Portal.

Use of the Site

The Site is provided for general informational purposes about PNU Consulting and the work we do. You may access and view the Site for personal or internal business reference. You may not modify, reproduce, distribute, or commercially exploit any part of the Site without our prior written consent.

Account Terms (Investor Portal)

The Portal is restricted to invited individuals. Accounts are created and managed exclusively by PNU Consulting; we do not offer self-service sign-up or self-service password reset. To request access, recover a forgotten password, or close your account, email info@pnuconsulting.com.

Each account is personal to the individual to whom it is issued. You agree that:

• You will not share your password or account access with any other person, whether inside or outside your organization.
• You will not allow any other person to use your account, and you will not use anyone else’s account.
• You are responsible for keeping your password confidential and for all activity that occurs under your account.
• You will notify us promptly at info@pnuconsulting.com if you suspect unauthorized use of your account or any other security incident.

Accounts are non-transferable. If you change roles, organizations, or contact details, please notify us so we can update or close the account accordingly.

Acceptable Use

When using the Site or the Portal, you agree not to:

• Attempt to circumvent, disable, or interfere with any authentication, rate-limit, lockout, audit-logging, or other security or access-control mechanism.
• Probe, scan, or test the vulnerability of any system or network without our prior written authorization.
• Access any account, content, or data not intended for you.
• Scrape, harvest, or systematically download Site or Portal content other than as expressly permitted.
• Reverse-engineer, decompile, or attempt to extract source code from any portion of the Site or the Portal except as permitted by law.
• Introduce viruses, malware, or other harmful code, or take any action that imposes an unreasonable load on our infrastructure.

Access Logging and Monitoring

For security and operational purposes we record an access-log entry for every authenticated request to the Portal. Logged data includes your account identifier, IP address, approximate location, user-agent, session identifier, the path requested, and the timestamp. Failed sign-in attempts and account lockouts are also recorded. Logged data is retained for up to 18 months and is described in detail in our Privacy Policy. By using the Portal you consent to this logging.

Suspension and Termination

We may, at our sole discretion and without prior notice, suspend, restrict, or terminate your access to the Portal or any account, including by ending all active sessions and resetting your password, if we reasonably believe that:

• You have breached these Terms or any other agreement with us;
• Your account credentials may have been compromised, shared, or used by an unauthorized person;
• Your activity poses a security, legal, regulatory, or reputational risk to PNU Consulting, our service providers, or other users; or
• Suspension or termination is required by applicable law, court order, or regulatory direction.

We may also suspend or terminate access for any other reason consistent with our internal policies, including the conclusion of an engagement or relationship. Upon termination, your right to access the Portal ends immediately. Sections of these Terms that by their nature should survive termination (including Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, and Governing Law) will survive.

Engagements & Services

Information on the Site or the Portal does not constitute technical, engineering, business, or legal advice and should not be relied on as a substitute for professional consultation. Specific services are provided only under individual written agreements between PNU Consulting and the client. Nothing on the Site or the Portal constitutes an offer to provide services or creates a client relationship.

Intellectual Property

All content on the Site and the Portal, including text, graphics, logos, images, and underlying code, is owned by PNU Consulting or its licensors and is protected by applicable intellectual property laws. The PNU Consulting name and any related marks are trademarks of PNU Consulting. Other product, company, or service names referenced are the property of their respective owners. Your access to the Portal does not grant you any license or right to redistribute, publish, or commercially exploit any of its content.

Confidentiality

Information shared with us through the Site, the Portal, or in the course of an engagement may include confidential or proprietary content. We treat such information with appropriate care and only disclose it as authorized by the relevant client or as required by law. You agree to treat any non-public information you access through the Portal as confidential and not to disclose it to any third party.

Disclaimers

The Site, the Portal, and their content are provided on an “as is” and “as available” basis without warranties of any kind, express or implied. We do not guarantee that the Site or Portal will be uninterrupted, error-free, secure, or free from viruses or other harmful components, and we make no warranties regarding the accuracy, completeness, or reliability of any information made available through them.

Limitation of Liability

To the maximum extent permitted by law, PNU Consulting and its directors, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Site or the Portal, even if advised of the possibility of such damages.

Third-Party Links and Service Providers

The Site or the Portal may contain links to third-party websites or resources. We provide such links for convenience only and do not endorse or assume responsibility for the content, products, or services of any third-party site. The Portal is operated using third-party service providers (including those identified as subprocessors in our Privacy Policy); these providers are subject to their own terms and policies in addition to these Terms.

Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above indicates when the Terms were most recently revised. Continued use of the Site or the Portal after changes are posted constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which PNU Consulting is established, without regard to its conflict-of-law principles. Any disputes arising from these Terms or your use of the Site or the Portal will be subject to the exclusive jurisdiction of the courts of that jurisdiction.
